Terms and conditions
of sale and service

This document sets out how a project with Bassin Digital works: what you order, what you pay, what you receive, who owns what, and what happens if either of us wants to stop.

Ordering as a private individual? This document is written first for professional clients, but nothing in it removes the rights the law of your country of residence guarantees you. Articles 17 (withdrawal) and 19 (disputes) concern you first, and article 4 confirms that the price shown is the final price.

01Scope and acceptance

These terms govern every service sold by Bassin Digital: website design and redesign, search optimisation, social media management, artificial intelligence services and maintenance.

They apply as soon as an order is confirmed — through the online configurator, by accepting a quote, or by paying a deposit. Placing an order implies acceptance of these terms without reservation.

They prevail over the client's own purchasing terms unless agreed otherwise in writing. Bassin Digital may amend them at any time; the version that applies is the one in force on the day of the order, and you receive a copy with your quote.

Who these services are for. Bassin Digital works mainly with professional clients — freelancers, tradespeople, shopkeepers and companies acting in the course of their business — and also accepts orders from private individuals. Services are sold and invoiced from Georgia, and may be sold anywhere in the world.

If you are a consumer, meaning you are ordering for purposes outside any trade or profession, the mandatory provisions of the law of your country of habitual residence apply and prevail over any conflicting clause in these terms. The clauses specific to you are flagged throughout the document.

02The provider

Activity: website design and development, digital strategy consulting, automation through artificial intelligence.

Tax status. Bassin Digital holds Georgian Small Business status (turnover-based taxation). It is not registered for VAT and holds no EU VAT number. See article 4 for what this means on your invoice.

All work is carried out fully remotely, in English or French, for clients in France, Europe and beyond.

03Quotes and orders

Every project is covered by a written quote, valid for 30 days. The online configurator gives an immediate estimate based on the options you choose; that estimate becomes contractual once it is carried over into the final quote accepted by both parties.

An order is firm when all three of the following are met: the quote is accepted in writing (email is sufficient), these terms are accepted, and the deposit has been received.

Anything not listed in the quote is covered by a separate additional quote.

04Prices and payment

Prices are stated in euros. As Bassin Digital is not registered for VAT (article 2), invoices are issued without VAT.

Any duties, taxes, withholding taxes or bank charges payable in your country remain your responsibility and may not be deducted from the amounts due to Bassin Digital.

Payment schedule

Subscriptions — CARE maintenance, AI services — are invoiced in advance, monthly or annually depending on the plan chosen.

Payment method

Payments are made by bank transfer, to the European IBAN shown on the invoice. Submitting the online configurator is a booking request: it takes no payment, and the final quote together with the deposit invoice is sent to you within 24 business hours. Any charges applied by your own bank remain your responsibility.

Late payment

Any sum unpaid on its due date bears interest automatically and without prior notice at 1% per month (any month started being due in full), plus a fixed recovery fee of €40. If you are a business established in the European Union, these amounts may not fall below the minimums set by Directive 2011/7/EU on late payment as transposed into your national law. If you are a consumer, the €40 fixed recovery fee does not apply and the interest rate charged may not exceed what the law of your country of residence permits. Bassin Digital may suspend work in progress, including hosting, after a reminder has gone unanswered for 15 days.

05What you provide

A successful project depends on your input. You undertake to supply, within the agreed timeframes: copy, images, logos, technical access and any information needed.

You warrant that you hold the rights to everything you send us (text, photographs, trademarks, fonts) and you indemnify Bassin Digital against any third-party claim on that basis.

Bassin Digital may decline to publish content that is manifestly unlawful, misleading, or contrary to its values, without this giving rise to any compensation.

06Revisions included

The price includes two rounds of feedback at each approved stage: one on the design mock-up, one on the developed site. A round of feedback is a set of requests sent in one go.

Beyond that, or if you change direction after a stage has been approved (new visual identity, new site structure, new content), the additional work is charged at the hourly rate in force, against an additional quote accepted beforehand.

07Timelines

Timelines are stated in the quote and run from receipt of the deposit and of all the content required.

They are automatically suspended while we are waiting for an item or an approval from you. A delay attributable to the client gives rise to neither cancellation nor compensation.

08Delivery and acceptance

The site is delivered on a preview address. You have 10 business days to report any defects in writing.

After that period without written feedback, the work is deemed accepted. The site goes live once the balance has been settled.

For 30 days after go-live, fixing technical defects attributable to Bassin Digital is free of charge. This guarantee covers neither new features, nor content changes, nor malfunctions caused by a third party or by you.

This is a commercial guarantee. For consumer clients it comes in addition to the legal guarantee of conformity provided by the law of their country of residence and never replaces it: the statutory periods and remedies remain intact, free of charge, and may be exercised independently of this guarantee.

09Ownership of the website

Once payment is complete, Bassin Digital assigns to you the exploitation rights over the development work and graphic design created specifically for you: reproduction, display and adaptation, for the full legal term of protection and worldwide. The source code is handed over to you.

The following remain the property of their authors and are supplied under their own licences: third-party components, open-source libraries, typefaces, stock images and tools used. Bassin Digital retains ownership of its methods, know-how and reusable components, without this limiting your use of the delivered site.

Before payment is complete, no rights are assigned, and putting the site online transfers nothing.

10Hosting and domain name

The domain name is yours. While a CARE maintenance subscription is running, hosting, the domain name and the security certificate are included in the subscription price.

If the subscription ends, for whatever reason, Bassin Digital hands over the site, the domain name and all access credentials. You then take those costs on directly with the providers concerned.

Outside a subscription, the first year of hosting included in the packages runs from go-live. At the end of that year you choose between taking out a CARE plan or taking hosting on yourself.

Hosting is provided by third parties. Bassin Digital is not liable for outages attributable to them, but undertakes to inform you and to act as quickly as possible.

11CARE maintenance

The CARE and CARE+ plans are subscriptions with no minimum term, cancellable by either party on 30 days' written notice. Any month started is payable in full.

The volume of work included (2 hours a month for CARE, 4 hours for CARE+) is per calendar month and does not roll over from one month to the next. Stated response times are in business days.

Not included: redesigns, building new features, taking over a site modified by a third party, and restoration following outside intervention. These are quoted separately.

The launch prices advertised are guaranteed for the duration of a subscription taken out during the promotional period, for as long as it runs without interruption.

12Artificial intelligence services

The artificial intelligence services — phone assistant, chat assistant, automations, content generation — run on third-party platforms. Their availability, terms and pricing may change independently of Bassin Digital, which will inform you of any significant change.

These services produce automated responses that may contain errors or inaccuracies. Bassin Digital guarantees no commercial outcome and cannot be held liable for decisions taken on the basis of generated content. You remain responsible for the information you feed the system and for content published in your name.

You undertake to tell the people you deal with, where the law requires it, that they are interacting with an automated system, and to approve the service settings before it goes live.

Subscription fees for the third-party platforms are included in the monthly price advertised, within the volumes stated in the quote. Beyond those, an adjustment is proposed in writing.

13Personal data

Where Bassin Digital processes personal data on your behalf — forms, chat assistant, automations — it acts as a processor within the meaning of the GDPR, and you are the controller.

Bassin Digital undertakes to process that data only on your instructions, to keep it confidential, to use only providers offering sufficient guarantees, and to return or delete the data at the end of the engagement. A detailed data processing agreement is available on request.

Application of the GDPR. Although established in Georgia, Bassin Digital applies Regulation (EU) 2016/679 (GDPR) whenever it applies to its processing, in particular where it offers its services to people located in the European Union (Article 3(2) of the Regulation). It is also subject to the Georgian law on personal data protection.

Transfers outside the European Union. Georgia is not covered by an adequacy decision of the European Commission. Transfers of data from the European Economic Area to Bassin Digital are framed by the Standard Contractual Clauses adopted by the European Commission (Implementing Decision (EU) 2021/914), signed on request together with the data processing agreement.

14Confidentiality and references

Each party undertakes to keep confidential any non-public information received from the other, during the engagement and for the two years that follow.

Unless you object in writing, Bassin Digital may cite your name and logo and show visuals of the work delivered in its portfolio and marketing materials.

15Liability

Bassin Digital is bound by an obligation of means. It applies the care and skill expected of a professional in its field.

Its liability is limited to direct and foreseeable loss, and capped at the amount actually paid by the client for the service concerned. Indirect loss is excluded: loss of revenue, loss of data not attributable to Bassin Digital, loss of customers, damage to reputation.

Bassin Digital guarantees no search engine ranking, no traffic volume and no commercial result: these depend on outside factors, in particular search engine algorithms and your market.

These limitations apply neither in the event of gross negligence or wilful misconduct, nor where the law sets them aside. They cannot be relied on against a consumer client to the extent that the law of their country of residence prohibits them or treats them as void, in particular in the event of harm to life, physical integrity or health.

16Cancellation and termination

If the client cancels after work has started, the deposit is retained by Bassin Digital and the work already done is invoiced in proportion to its progress. This does not affect a consumer client's right of withdrawal, described in article 17.

In the event of a serious breach by either party — non-payment, no response for more than 60 days, failure to meet an essential obligation — the other party may terminate the contract 15 days after a formal notice has gone unheeded.

If a project is suspended at your request for more than 90 days, Bassin Digital may close it and invoice the progress made.

17Right of withdrawal

Business clients. The right of withdrawal provided by consumer law does not apply to orders placed in the course of a trade or profession.

Consumer clients. If you are ordering for purposes outside any trade or profession and you reside in the European Union, you have 14 days from the conclusion of the contract to withdraw, without giving any reason and without penalty.

How to exercise it

Notify us of your decision by an unambiguous statement, by email to bassindigital@gmail.com. It is enough to send your message before the deadline expires. You may use the form below, though you are not obliged to.

Consequences

We refund all sums paid no later than 14 days after receiving your notice, using the same payment method as the one used for the order, at no cost to you.

Starting before the end of the period

If you expressly ask for the work to start before the 14 days are up — which you do by ticking the box provided in the configurator, or by confirming it in writing — there are two consequences: you lose your right of withdrawal once the service has been fully performed, and if you withdraw while it is being performed, you pay us an amount proportionate to the work already done at the date of your notice.

18Force majeure

Neither party is liable for a failure caused by an event beyond its reasonable control, which it could not have foreseen when the contract was concluded and whose effects it cannot avoid: natural disaster, armed conflict, decision of a public authority, widespread telecommunications outage, or prolonged failure of a host or third-party supplier. The party affected informs the other without delay. If the impediment lasts more than 60 days, either party may terminate the contract without compensation, work already done remaining payable.

19Governing law and disputes

These terms are governed by Georgian law, excluding the Vienna Convention on Contracts for the International Sale of Goods.

In the event of a dispute, the parties undertake to seek an amicable solution first: the more diligent party sets out its claim in writing, and the parties have 30 days to respond and attempt to reach agreement.

Failing agreement, the dispute falls within the jurisdiction of the courts of Batumi, Georgia.

Consumers residing in the European Union. These provisions deprive you neither of the protection of the mandatory rules of the law of your country of habitual residence, nor of the right to bring proceedings before the courts of that country. The European Online Dispute Resolution (ODR) platform closed permanently on 20 July 2025; you may contact the European Consumer Centre in your country of residence.
